this is the correct procedure, check out if that youre doing is this: you un-install the current driver, turn off the computer and replace the cards. you start it up then and wait till windows auto-detect the new card and ask for the new drivers, you cancel it. after windows completed loaded you run the new driver file. it will prolly notify you about an un-certified driver, you just proceed. now it is complete, choose to re-start it manually instead: close the installation and re-start.

one thing you can try is to disable the driver signature verification. you have to go into the Hardware tab in System Properties and open the "driver signature" button. im not sure if thats what you will find because my windows language is not English; but you will find it under Hardware anyway.
another thing you can try is installing the new drivers in Safe Mode.

if that wont work, please explain that better. do u get the message after youve installed the driver or while you do it?
also, make sure the driver verion you downloaded is actually the WXP version.

ok, i did everything you said in the first and second paragraph, i have not tried doing it in safe mode. what it does, it installies the drivers, i get an error that the data is invalied. and that is it. the first screen at bootup says it has 64 MB of ram, but if i enter GTA3, it says it needs more than 12MB. if i enter the adapter settings, it says that all the info is "unavailable" i asked for an RMA thru newegg now, do they replace it with the same product? or can you upgrade?

if i put in the mx200 card in and start it up, windows knows everything about the card by default, windows has no clue on info about the mx420. im RMA it back to newegg, are they strict onwhat gets approved and what doesn't?

You shouldnt have any problem RMAing to newegg unless you destroyed the card. And even then... well maybe. lol

Are you making sure that the card is seated correctly and that there is no marks/scratches/dust on the pins on the card or in the slot?

the pins are perfect, i have tried to install the driver via windows wizard and the cd that came with it. i have looked on windows update, but nothing again. i have d/l a driver from chaintech's website for XP but i always get the same outcome. can i upgrade to a better v/c when i RMA this one? i was thinking of getting the leadtek mx420 for $1 more, leadtek made my mx200 and it worked well playing GTA3.

i d/l the nvidia driver 30.82 for XP and upon restart windows finds my vc again like everyother attempt to install the driver. so its a failed attempt.:(
