Are you going to buy this stuff, or do you already have it?
How good it will be largely depends on what you're spending;)
If it's free, it will be great. If you're spending money, I would be curious how much you're spending and if you could get something faster (even a single-CPU system) for the same amount of money.

well the cpus are free as they are working pulls from Government computers i.e Coast Guard logistics. the board was bought for 28.00 shipped off Ebay. memory was free too most of the other stuff is just parts had laying around.

As you are considering using it as a file server I wonder what you are going to use as storage. 5 to 10 gig cheapo Scuzzy OS disk then a large ATA RAID array?

The system will probably be fine for file-serving and MP3's. I don't have any experience with DivX, so I can't comment on that.
I've got a dual PII 350 system that I still use as a Backup File Server and it works fine. It used to put my 1.5 GHz P4 File Server to shame;) The single CPU P4 wasn't as smooth at multitasking. I pawned it off to someone else and built a dual AMD system for my Primary File Server and I'm lovin' it.

As a rough guess you need 600Mhz to play a full-motion DivX without frame losses. As it's a dually (300) I doubt it will be able to play DivX movies unless you get a multi-threaded program to play one. So in this case it's relegated to file server.
However, having KaZaA on a dually is a good plan. The proggy's a known rescource hog and it will cut it down to size :)
Remember to get Kazaa Lite from www.k-lite.tk rather than plain Kazaa.
As a sidenote you have two EEC ramsticks. Handy if you decide to get a very good RAID card that needs a stick as you can pop that in.
I had a slot Athlon 700Mhz that had problems with high quality Divx getting choppy. I don't know if divx is multi-threaded for playback, although I know it is for encoding.

MY Celly 500 was a bugger for DivX's. Took aaages to encode. In a way it's a good thing I electrocuted it, gave me an excuse to get a P4 :D

Is it posting?
If not, maybe it's the CMOS battery.
Is the CMOS discharge jumper in the run position?
