1. COuld my original 300w PSU not have been enough to even post?
2. looking at the 1.2 gig cpu i see no marks, cracks burn marks or any indication that it went it "nuculear" but could it be fried?
3. could i have some or the panel wires on the wrong jumpers... ie speeaker, sw rest, reset, power on...etc

I'm not familiar with the Iwill, but my KT7, with some bios revisions, will do the same thing if you don't have an HSF that has a tachometer output feeding into the mainboard. It thinks you are trying to run without an HSF and tries to prevent you from burning up your CPU.
Any kk266 owners know if this applies to your board also?

yea, i think so...
check with Iwill tech support....
all i can suggest is get a fan that has an RPM monitor, or email iwill tech support and get a another bios chip that doesnt have that feature....

You probably tried this but I will say it anyway. If the computer crashes due to a bios setting you sometimes have to unplug it to get the thing to post. Did you try booting the system with the fsb jumper set to 100? Also make sure you have the power and reset switches plugged in correctly on the mobo. I don't think it's your cpu giving you the problem, and as for the 230 watt power supply I'm not sure if that would work but I would think it would at least post with it. You can also try moving the memory from 1 dimm to another, and maybe disable the onboard sound. Perhaps your bios is fried :( good luck

I had the same problem with my Iwill KA266-R it fried a 300 watt PS. I replaced it with a server class 400 and she runs great.

you do not need a fan header plugged into the board in order for it to boot up. it works perfectly fine without any of the fan headers being used. i have a 80mm on my fop38 with a molex connector and nothing connected to my board and it works just fine...

I agree with this advice. The fact that you are getting no beeps at all is indicative of bios problems. Try the jumper set to 100, diable the onboard sound. If the board does not boot up, reset the bios with the jumper. If that does not work call (DO NOT E-MAIL, since it goes to Taiwan) IWill and request a new bios chip. They will say that it could also be the CPU, but if you tell them you tried another one you should be ok and they will send you a new bios chip.

Hope you don't need it though

youd better try another CPU before you go callin Iwill ,I have toasted a few of these things ,and your's sounds like a classic case of thermonuclear meltdown .. just my $0.02
