The card in question as 2.8ns samsung memory, and shows up as a PRO card everywhere
what drivers should i use, and what utilities to overclock it?

Well for the drivers you can use the Omega or ATi original drivers, just download the latest version (also don't forget the control panel)
And RadClocker is a nice utility to overclock with
ive got 3.7 cats installed... where can i get the omega's? and corresponding control panels?

currently my entire system is @ stock and i only got 10.5k 3dmark01se pts... which seems low to me
before i overclock this (pending my new cwt 550w psu - due to come today) what should i do to get this to perform better.... seems really low to me

any ideas about my horribly low 3dmark01se score... even for stock it seems FAR too low... to me at least
You say it is showing as a PRO - but what clock speed is it running at? Install a program like Radclocker (http://www28.brinkster.com/chrisww1942/) or Rage3d Tweak (http://www.rage3d.com/r3dtweak/) and check the overclocking section to see what clock speed it is actually running at.
If it is running at NP speeds then your scores aren't all that low, if it is at PRO speeds (325/310) then there could be something wrong. I'd suggest reinstalling the drivers, and if that doesn't help reinstall windows and try it all again. Try to get it to install XP fresh, not a 2000 upgrade, that probably isn't causing this problem, but who knows.
Are you using the newest version of the nforce2 drivers?
Also, the Omega (http://www.omegacorner.com/) drivers probably won't increase your 3Dmark scores at all. They are optimized for actual game play, not benchmarks.
How do actual games play?

What speed is your memory running at? By 'stock 1800+ speeds' do you mean 266mhz (PC2100)? If so, change the memory ratio in the SoftmenuIII bios screen so it runs at 400mhz (PC3200).
i mean 266mhz yes... i hadnt started the o/c process...
which has just begun... new psu came today... its a slow o/c because its my first and i dont want to screw it up :D
i havent really managed to etst many actualy games... ive err lost my unreal tournament 2k3 disk 1
and cm4 is @ a mates
but soon ill have vice city, cm4 and unreal tournament 2k3 to etst it with... it past the c&c generals playtest...
Since the memory is PC3200, and the board supports a 400mhz memory clock it isn't really overclocking to run it at 400mhz since everything is still running within spec. You should see a nice bump in memory bandwidth going to 400mhz, that will help.

1. the card was @ 274/274.... i raised that to 301/301 use rage3dtweak... but barely achieved much more in 3dmark
that leads me to believe i need to focus on my cpu overclock... which is being problematic....

Since the card has 2.8ns RAM you should be able to flash it with a standard PRO bios and it should run fine at standard PRO speeds, or faster. Just make sure you backup your original bios incase anything untoward happens. And make sure everything stays cool while it is overclocked, you may need to remove the shim around the GPU to accomplish this. The rage3d forum is a great place to search for info on everything Radeon.
45c does seem high for that CPU with that heatsink @ stock speeds. I'd try to carefully reapply AS3 (instructions (http://www.arcticsilver.com/arctic_silver_instructions.htm)) and remount the heatsink. There are some good results listed in the CPU database for the JUIHB 1800+, so if you get that temp under control you should be able to get a good overclock (2ghz+).
