OK here is what I have ended up with, this setup has been proven for roughly 6 weeks now. I have noticed several getting 3.7GHZ with this same CPU so I ask for any ideas on what I might be able to do to pull more out of my existing setup. Here is what we are working with:

Intel P4 2.4C (MO) @3.408 with 1.625volts
Abit IC7MAX3 284 FSB BIOS 13
Geil PC4200 running at 5/4 divider so it's really running @ 454MHZ or just under PC3700 speeds (3,8,4,4)
Dtek "Whitewater" on the CPU as well as waterblocks on the northbridge and Video Card running an EHeim 1250 so the cooling is there. (45C under 100% folding load)
Also all the waterblocks and the CPU are lapped to a mirror finish.
I realize that the AGP lock issue is still pending so I'm really stuckaround 300 FSB, but I'm not close at this point so anything closer to 300 is cool by me.

As soon as I turn it up even 3-4 MHZ on the FSB it becomes unstable and instantly reboots....no lock-ups at all, so I dont think heat is a factor. Also it refuses to even run @ 3450 unless I bump the voltage up to 1.65 and still it is unstable. Any help advice appreciated. CYA!

Tried using clockgen on the agp lock issue?

you mean 3.4 not 4.4 right?

this is it huh? Well I suppose I'll just have to keep tinkering with it, was hoping someone else may have been running a symilar setp. CYA!

With clockgen you can keep the agp/pci lock in place above 300, trust me it works. http://www.uploadit.org/files2/171103-303oc.JPG

Hey Dan thanks for the idea, I'll give it a whirl if I can GET to 300. Right now I'm stuck around 290 with what I have posted above do you have any recomendations as far as tweaking my existing settings? CYA!

what kind of voltage to the ram ? agp voltage?

RAM is chuggin on 2.7 right now as you can see by the link below I can probably MAX out the Mobo's 3.2 and not hurt the RAM. Since it's running the slower speed I have kept the voltage to a minimum. The AGP is stock voltage, I think 1.65 is what it is set at. Will the AGP even make a difference if it's locked?

The agp bus being locked did make a difference for me. The 1.65 should be fine , my bios defaults to 1.5. I went to 1.7 which helped stability. My vdimm (via the mod) is 3.15v. that made an enormus increase in the stability(max was 2.85)as well as the ability to raise the fsb. I would up the voltage some(2.9) see if that helps. I thought I read somewhere that the Abit's had an issue with Geil especially when using a divider. I could be mistaken but you might poke around and see if there is any info on that.

My problems may also be a direct result of the first revision of IC7MAX3's too. That said I should still be OK running my RAM at 3.2 if the manufacturer rates it as high as 3.1, the stability issues are between 2.8 anmd 3.1.

mines rated to 2.75v. so you should be fine.;)

I stand corrected, my AGP voltage was @ 1.5 so I upped it to 1.65. I am running a Radeon 9700 Pro so I'm thinking this should be an OK voltage......seems to be OK @ 3.5 will fire back more tomorrow, thanks for the advice it appears to be helping. I also upped the CPU voltage to 1.65, running 37C idle. CYA!

Well I almost felt like taking a hammer to the machine last night!!! The "insert" ket is like worn out after using it so much LOL. It was totally glitchy regaurdless of what I did so the heck with it!!! Set it back to 3.4GHZ and it was honestly unstable there now, whats with that? Used to be able to "cook" cd's now it ceashes, AHHH. I figure sge will stabilize again...at least I hope anyway!!! Thanks for the help Dan :)

A hammer won't help the oc...It will make you feel better though.

insert key on boot-up clears out the BIOS so it can POST. I would het no "beep" or POST unless I held the "insert" key upon powering up.
