I really don't think that XEONS overclock well, so it would be much better if he just gave me the CPU, and bought himself a nice and cheap Celeron2, along with some Abit or ASUS Motherboard! :)
Seriously, I don't think he should expect much overclocking from that CPU. What motherboard is he using now? His only change would be FSB-overclocking. If he just wants better scores in 3Dmark, I recommend that he buys himself a nice and cheap GeForce2 MX card.
Btw, your signature says that you have a TNT2 with 8 MB RAM... don't you mean that it is a TNT card, and not TNT2? I don't think they ever made a TNT2 card with just 8 MB RAM, did they? Correct me if I'm wrong... ;)
If he's running Win2K he's going to get crappy 3D marks as well. 3DMark is geared more towards 98/Me systems and sometimes won't even run on Win2K even though in my opinion, games run just fine on Win2K and do not parallel 3D Mark's results at all.
If those were performed on a 98 system then something is definitely holding him back. I would say it's the card too.

owned a stealth 3 s540 16 meg. it sucked. get rid of the card. it's holding you back. a V3 3000 out-performs it. get a GF2MX
