Help: NF7-S not booting up

Bought this board a month ago and due to moving, I manage to install it last nite. All parts are new:
Specs:
NF7-S v2.0
XP1700
256 2100DDR
128 GF4
2 X 30GB hd

First attempt:
Boot fine, changed BIOS time, set boot sequence (SATA, HDD, CDROM, FLPY). SAVE and EXIT
Insert WIN2K CD and setup window.
Load SATA drive
WIN2K setup window
CRASHED!

Second attempt:
LONG BEEP
Reseat memory to slot2, then slot3, same problem
Back to slot1
LONG BEEP
Unplug power and battery for couple minutes
reset CMOS
Reboot, cpu fan spinning, lights are on, NO BEEP at all
and Hang...

Third attempt:
remove memory and reboot
LONG BEEP
put the memory back in slot1
DEAD
put the memory in slot 2 and then slot3
DEAD

WTH is goin on here. Should I RMA it then? any ideas?

I tested the cpu and memory with another board, they work fine.

Another NF7-S bite the dust....
