Some programs don't close in a timely manor.
It happens to me, but if I close trillian first (the problematic program), then try to shutdown, it will go on the first try.

i dont have trillian though. wheneven i expand the system tray, it closes back in like 5-10sec. could this be the problem? maybe i should try closing the programs in system tray.
thanks guys. more replies/experienced problems welcomed. :)

Try manually closing all the programs on your computer, everything open and everything in the tray, then try shutting down. If it goes on the first try, then it was one of those programs that's causing problems.

su root, i followed you method, it works now, cheers
where do i go from here?
do i close 1 program and then restart to test if that program is timed wrongly?
or do i set from msconfig or ..?
That would be the best way to go about it finding what program is giving you problems.

I just guessed at the most likely programs that were doing it (usually the big ones). Trillian was causing it on mine, but it could be anything.
