I found it!! This seems to simple and the end of the web site I found explains why but....
Open Control Panel from the Start menu.
Choose Add or Remove Programs.
Select Add/Remove Windows Components.
Click to remove the checkmark next to "Windows Messenger".
Click the Next button.
Click the Finish button.
Restart your computer.
The reason this is to simple is:
Actually, the steps simply keep Windows Messenger from automatically running when you start Windows XP. The Messenger program still lives on your hard drive, waiting to be called into service. That's because Microsoft says that Windows Messenger's "Messenger Application Programming Interfaces (APIs)" is necessary for Outlook 2002, Outlook Express 6, and the Remote Assistance feature.

i did that before posting, it still loads up. its the wiring, i got these probs with my old pc also. It seams to be that each time i lose connecting they both try to sign-in, or atleast win messenger tries to after the internet lost. And there fore it signs me off my other account, and since this happens in less than 1 or 2 seconds, its hard to tell if its the actual connection of Win messenger
thx for the reply though, i guess ill just ignore it, hopefully ill be moving next month to a new house, and i hope the wiring there is better. And im going to change my modem, it seems to be kinda faulty

Go to: Start | Run and type gpedit.msc Go down to admistrative templates then to Windows Components. on the right find windows messenger. Double click each entry and select 'enabled' and you will never see it again.
strange it says that "gpedit.msc " cannot be found.
