my celly 566@850 on a be6 with 384 pc100 kingston sdram is reporting that it is ALWAYS at 100%usage. but the thing is the pc feels perfect. it is not sluggish or laggy. the hd is not grinding either. wat could be the problem?

That happens to me when my space gets low and windows doesn't have enough room for the swap file. I have no idea why but if you have low space.. try freeing some up. Win98 needs at least 100MB and WinME needs at least 200MB. If you don't have low space then it's probably a program runnin in the background that's causing it.
If you are running any kind of cpu cooling program it will do that.
Or if your system is using acpi and either win2K or WinME

There is a Power Toy that's not included with the "final" Win95 Power Toys. It's called "Wintop." Wintop is similar to the Unix/Linux "top" command. It tells you what your CPU is running. Win98's System Monitor just doesn't get CPU Usage straight.

Are you running Seti or something similar?
If you wanna see what's running in the background, download Taskinfo 2000 from http://www.iarsn.com/downloads .This will show you what is running in your system, and how much CPU time is being used by it.
