Is there a difference between live 5.1 retail and Live 5.1 OEM?

For the actual card, no. You pay for the software (which, in most cases with the MP3 box, is free elsewhere anyway).

So is 47 dollars a good deal?? Know any other places that offer it for cheaper??

I think you missed it, but Staples (of all places) had the MP3 5.1 card for $100 minus a $50 (!!!) rebate... that was a good deal, even tempted me.

For an OEM, $47 is alright. Be sure to check pricewatch (http://www.pricewatch.com) first.
