memory probs

I just burned Windows XP and it boots from cd, then when it says "Checking hardware configuration", it goes then to a black screen and do nothing, it freezes. My other XP wasn't able to boot from cd. I tried the windows cd on my other comp and it boots fine. I got mem problems or what??? I tried running memtest during 8:30hrs 100 tests 0 errors. I ltried prime and just relized 10 secs ago that :

What u think its the prob , memory or mobo

You could allways try putting a divider on the ram that will make it run at a lower speed. That would also put a bit less of a strain on the northbridge so that you are only testing the cpu.
