will it power my rig thats the question.

duron 1600 @ 2.2ghz 1.85v
2x512mb ddr3200
100gb wd hdd
audigy2
16x dvd
52x cdrw

led case fan
fan on zalman cooler
120mm cpu fan
2 12" cathode tubes

want some overclocking headroom (mild volt mods and >210fsb) so must have good rails.

That's odd. I just got a similar power supply, mine is the 400w version, and I must say that I like it a ton more than my Antec True power supply. Right now I am running at 210x10, 1GB ram, 1 160GB Maxtor, 1 80GB Seagate, 1 Pioneer DVD Burner, 1 LiteOn CD Burner, 9500, 120mm and 2 80mm and it runs like a champ. If you can get the 400w version for not much more then I'd get that because of all the headroom it will have for future stuff.

Ya, it should power it well. If, however, you plan on getting more drives or high wattage things then I would deffinatly suggest a 530w Fortron, but for just that I bet it would do a great job. Or if you don't mind spending 80bucks on a top quality PSU, then get the 530w.

cant seem to get a 530w in the uk:-/ . can get the 550w but i really need twin fans or fan over cpu to keeps temps down. also these look rather out of my budget.

Well the 350w one you had there should do a fine job of powering that system, so I would suggest getting it.
