Ok, when I overclock my computer over about 145 fsb i'm not exactly sure. The sound "pops". I dunno why but it always sounds like an old crappy movie? Any ideas??

Check your CAS memory setting. Some memory won't go above cas2. I have mine set to cas3 at anything above 150mhz, even though it's rated cas2 at 133 (and works up to 148mhz).

Have you updated the VIA chipset 4-in-1 drivers? I doubt this would be it, but I have to ask.

No I haven't set up the Via 4-in-1 drivers I might not even have installed them I might just re-install. My Cas memory setting is Cas 2, which when I set it at Cas3 it still does the same thing. It is Cas3 generic Ram Pc133. Not the best stuff around. If I wanted to upgrade from the ram i have now should I go up to Cas2 or Pc150??? Or would it not matter??

PC150 cas2 memory would be good. There are some goods threads in the memory secton about what to get (and not get).

Try the via 4.32 drivers on my site. Keep the CAS set to 3, with generic memory it won't run well any higher.

If you get 150 ram your bandwidth will be much better since you wont have to run your ram at minus clock speed. As far as sound your only hope is to try different 4 in 1 drivers ive heard stories of people having luck with the older drivers and some who really like the new ones, first i would try the microsoft update site theres usualy updated drivers for the built in sound on your MB i'm a little supprised that it cant take the PCi speed since most people I know are running there's way above where your at and your the first with a problem, I guess everyone cant be lucky hope you get this figured out.
