Ok I am am getting Diehards pair of 1.6 and I am going to be running my first Intel rig yummy, 4 chips 2 real and logical, I can't wait. Anyways I have a few questions. I have a good case, memory, ect.. But I have 420 Watt Enernmax with solid rails, but will be enought. And Cooling, I am wanting quiet air cooling

420 watt enermax may be enough. I would get a 550 watt. Especially if you will be O/Cing.
Most Xeon boards want an EPS instead of ATX Power Supply
But the ATX work sometimes, which board are you getting?
The stock wind tunnels with 80 mm adapters work pretty good.
You could also get the Swiftech Heat Sinks or the Cooler Master Heat Pipes, both work very well.

I would recommend an Antec or Fortron 550w EPS12V. Of course, it all depends on how many goodies you plan on stuffing in the case. The stock Intel wind tunnels work great, but they can get noisy depending on how hard you push the processors and the ambient temperature in the room. Once those fans reach almost 10K RPMs, look out! :)

Well I will have the following
80GB Maxtor SATA in Raid 0
1 80GB WD
1 120GB WD
1 160 GB Seagate
Also will be running a soundcard, 6800Ultra and the 1.6's O/Ced 3.2.
Also The Enernmax has these specs, its quite the beefy PSU for its watts
3.3 32A 5volt 36a 12volt 14A on one 15A on another 29A total

I would get a 550w
Hopefully the Enermax will just shut off if you try and there is too much draw
My Thermaltake 480watt would reset when I had Dual Mobile XPs running @ 2.4GHz and 1.85V
Are you using a PC-DL?

You still haven't said what motherboard you'll be using.
and the split 12V rail on your power supply may be an issue (again, depends on what motherboard you're using)
