how much more RAM does WinXP SP2 use over Win2k SP4 when both WinXP and Win2k are tweaked to its limits like disabled unnecessary services etc.......?

e.g. my Win2k uses about 120 MB memory right after startup (incl. McAfee)

About the same. Both OS's will use a base amount based on the total amount of ram in your system. If you have a gig of ram you will be using more by default than if you have 256. I find XP slightly more efficient at freeing up memory after its been used.

I usually turn off menu transistions, themes, and a few other things.

I've found that Win2K uses up a little less memory after booting than WinXP does. It also tends to run a little faster and cleaner, but that's because it's missing a lot of features.
