what is the diffrence between IC7-MAXII and MAX3?

The Max III had the OTES, but with some of the larger coolers, this created a problem.

The Max III has also been discontinued. It had some vTT issues, that have been rectified on the Max II IC7 and IC7-G models. They lowed the vDimm adjustement range to a max of 2.8. This cured the vTT issue.

The latest revision of the Max II boards is the rev 1.1. These newer boards also have better MOSFET's.

If you want the cooling the OTES offered, just grab you a IC7-G, and get some OCZ copper RAM sinks, and install them. This will cool better than the OTES which had the aluminum sinks.

You'll get a better board with the newest revision of the Max II boards.
 
The three main differences are that the Max3 has 6 SATA channels, vdimm up to 3.2v, and OTES. The IC7-G has 4 SATA channels and vdimm up to 2.8v. The Max3 OTES is sort of a gimmick and the Max3 has VTT tracking problems above 2.8v, so the only real advantage is the 2 extra SATA channels. Heck, I've never needed 6 SATA channels.
