Windows ME and Athlon 64

I am building a new rig,Athlon 64-DFI NF4 D and I have the upgrade Windows XP,will I be able to install ME first?
Or can I install the upgrade XP without installing ME first??

You can just install XP. At some point during the install it'll ask to see your ME disk.
No need to install ME first.
