Would anybody happen to know why an XP pro disk would fail to boot?
The BIOS is set to boot from cd-rom and I know the disk works, cause it boots my system fine. It gets to the point where it says "booting from disk" and it says at that point "failure" and then reboots.

I've also tried reflashing the BIOS. Everything goes well up to the point where it's going to begin to flash and it says "source file not found" and I know it's on a freshly format(brand new)floppy.

Any ideas?

What have you done so far afa troubleshooting? Are both the CDROM and Floppy drives recognized by the BIOS? Have you checked the cables for correct orientation and/or replaced the cables? Is the CDROM jumpered correctly? Have you ruled out the drives as being bad / have you tried different drives?
