I'm thinking of ordering..

ASUS A8N32-SLI Deluxe Socket 939 NVIDIA nForce SPP 100
http://www.newegg.com/Product/Product.asp?item=N82E16813131568

Antec TRUEPOWERII TPII-550 ATX12V 550W Power Supply
http://www.newegg.com/Product/Product.asp?item=N82E16817103931

Seagate Barracuda 7200.10 ST3320620AS (Perpendicular Recording Technology) 320GB 7200 RPM SATA 3.0Gb/s Hard Drive
http://www.newegg.com/Product/Product.asp?item=N82E16822148140

And doing the Step-Up program from 7900gtx -> 7950 GX2

I was looking at some RAM:

CORSAIR XMS 2GB (2 x 1GB) 184-Pin DDR SDRAM Unbuffered DDR 400 (PC 3200) Dual Channel Kit
http://www.newegg.com/Product/Product.asp?item=N82E16820145575

need good timings so loading won't be a problem. Also wanting to overclock as well. Any suggestions?

First, Memspeed (and CPU speed for that matter) have little effect on load times for programs. HDD speed and defragmenting are the critical factors.

Now on to your question. That MOBO will do FSB 320+ pretty easily. So determine the max FSB your CPU can do with a low multi. That is the memory speed you want to shoot for in order to run with a 1:1 divider.
Most of the Corsair DDR400 memory won't do over 220mhz. So if your CPU can run faster (220 x whatever multi) than that you'll need PC3500 or better.

Even tho a pair of ram is rated over pc3200, it will downclock and will still be useable with that motherboard correct? Going for a good OC or so, around 270 or so:p

Underclocking ram has nothing to do with it. There is no reason in the world to run ram below iit's rated speed.

With a 200 FSB and the ram at 200mhz you won't have to run a divider.
But at 270 (with DDR400 ram) you will.. a 150 (2:3) divider will keep the ram at about 200mhz (270 x 150/200 = 202.5mhz). But you're spending the money anyway, so why not buy DDR550 ram and run it at 270mhz (1:1)...270 x 200/200 = 270?

You can download AMD Calculator here: http://www.motherboardpoint.com/t22448-amd-calculator-v1001.html and it will show you what I'm talking about.

So my point being, if i buy something like the DDR550, i can use it in that asus mobo, and run it at 270 right off the bat, correct?

that's what i did, i got myself a GEIL Ultra-X 2x512Mb KIT DDR550, but my FSB is only 240MHz as my processor seems to max at 3.6GHz, so they are at 480MHz at FSB 1:1 at 2.5-3-3-5 and still got plenty of room for more speed

Yes.
