Pal8045 + Kk266r ????

Does the Alpha PAL8045 fit the Iwill KK266R mobo with no clearance issues around the socket?

I just ordered one...it will be cooling a stock 1.4ghz Tbird, and no overclocking, the case is decently ventilated with an 80mm blowhole directly above the cpu socket, so fresh air for the heatsink should not be an issue.....
