Going OEM with AMD CPU

The XP to be specific. This isn't a bad thing, right? All you need to do is place the CPU into the motherboard (not to sound stupid). I won't need a huge warranty and teaming software. But, I just want the CPU. OEM is the way to go, right? Thanks.

From what I have heard they are the exact same thing as retail only they dont come with some cheapo heatsink/fan.
