You need an account for the ME machine on the Win2k machine.
I.E. If you log in to your ME machine as:
Username: Johnny
Password: Appleseed
You need to have an account that mimics this in 2k.
Control Panel, Admin tools, Computer management, Users and Groups. Right click on right screen. Add new user.
Username will be Johnny password will be Appleseed. Make sure you set it to not expire, and password isn't changeable. Then add this user to the admin group and you should be able to do whatever you want.
You must be logged into the 2k machine as an Administrator to do this.

Are their IP's on the same octet?
10.0.0.2 and 10.0.0.3
Are their subnets the same?
255.255.255.0
Do you have NetBUI running on the 9x machine? If so get rid of it.
Of most importance is to make sure your Workgroup name is the same for your network. That can creat difficulties at best.
