Both are malaysian chips

The SL5Y5 is a boxed one, the SL5XS is a OEM version.

Boxed versions have a 3 year warranty, the OEM versions have a 3 month warranty, tho some store's give you a 1 year warranty.

Also the boxed versions come with a HSF.
