MSI P45 Neo3-FR random freezing

I just upgraded my CPU, motherboard and RAM. I seem to have this random freezing that happens only in Windows. Everything would just freeze, mouse won't move, can't ctrl-alt-del. Also it seems to happen ONLY when there is hard disk activity, like installing programs, transferring large files, emptying recycle bin etc... Right after freezing, the HDD light stays on for about 3 seconds then turns off.

Specs:
MSI P45 Neo-3FR
E8400
2x1GB GSkill 1066MHz
EVGA 8800GT
Corsair HX520W
2x SATA HDD
Windows XP Pro SP3

I have the latest BIOS and chipset drivers
Memtest passes 8+ hours
Orthos passes 3+ hours

I've tried different chipset drivers, switched the SATA from IDE to AHCI.
The only thing I can think of is a driver problem since it only happens in Windows. Trying to remedy the problem, I have formatted and installed Windows 4 times, and during that it has never froze. Also it never freezes while booting Windows.

Anyone have any ideas?

Update: Froze once while loading Windows.
