Seeking advice for replacement MB

I think my Gigabye GA-P35-DS3R is dead (don't want to get into all that here). Since I am no longer an overclocker, all I want is a relatively inexpensive MB ($100, or $80 & under would be ideal) that is stable, reliable, works well with Vista, and works well with my E6420 and 2GB's of Crucial 800 speed RAM. And my 7200.10 HDD. And my 7600GT.

I am considering just getting another GA-P35 board.

Question - are the new P45 boards backwards compatible with my 800 speed ram?

Any inexpensive MB recommendations?
