tried to oc the gpu and got it up to 856 from 760 stock msi board
the memory crapped out at like 156 when gpu was 300! wtf is my memory gone bad or something? stock is 1150. gave a bsod for an nvidia driver. i used atitool to do this, any one else have a recommendation or problems also? nvidias monitor said temp was only 53C at the highest and is reportng the gpu stock at 756 mem at 1152.

Try using EVGA Precision (http://downloads.guru3d.com/EVGA-Precision-1.3.3-download-2112.html) (works for all nvidia cards) for your OC. It may be that the mem is limited in its headroom. ANd remember, no card is guaranteed to OC well, if at all.

Possibly you got a bad card of the batch, it isn't RMA'able if it works fine at stock speeds or anything. You could find out what voltage it is running, might be low to use less power, which will reduce your oc.

seems that percision tool wont work with my card, only for evga cards?

You could try to flash the bios to an evga card if it continues not to work. And if it still doesn't work, you might just want to flash anyway.

might be something to look into..... not sure about flashing an msi to evga bios though

The Precision tool isnnt supposed to 'automatically' OC your card... never trust any app that does. You should do it manually to ensure that you have the max stable OC.

As for flashing the bios, as long as your MSI is a reference model, you should be able to flash an EVGA reference board BIOS to it.

I just like evga because they haven't let me down. I have my clocks in my sig 24/7 on stock volts.

It goes by Core/Shader/EFFECTIVE memory speed. Which is what usually confuses people. It is 1300mhz up/down.
