ASUS P5QC -vs- GIGABYTE EP45C-UD3R (new build)

Hey guys,

I've got a dilemma on my hands . . .

A friend just gave me a screamin' hot deal on a few components:

Intel e6300 CPU
nVidia 8800GT
2GB PC5300 DDR2 RAM

I am an AMD guy myself, but I am willing to try something new (since I can build a much better rig with these parts than what I am currently running: "Socket A" - don't laugh :p; I've got it up to a stable 2.57GHz).

--MY QUESTION FOR YOU "EXPERTS" IS THIS:

I am looking for a system that I will be able to upgrade gradually (as I can afford to) and I am very interested in the potential of the Intel P45 chipset - (I also looked at the X48, but those platforms are a little too pricey for me). This chipset has some pretty good clock speed headroom and supports both DDR2 & DDR3 RAM. So, I've been doing the research and I've got the field pretty much narrowed down to two very similar motherboards:

ASUS P5QC

I was hoping that some of you guys might be able to help me decide which one is better in terms of the following factors:

-BOARD-SPECIFIC SPECS/FEATURES (or known/potential problems)
-UPGRADABILITY
-O.C. POTENTIAL

*(I was also cosidering the ASRock P45R2000 - http://www.asrock.com/mb/overview.asp?Model=P45R2000&s=775 - if anyone has any comments on this board).

Please let me know what you guys think (I welcome any input or advice on this subject) - Thanks for your help and suggestions!
