Yes thats correct. It runs fine once installed, when i switch it back on in the morning there is no modem installed but once i pull it out and put it back in the same pci buss w2k detects it and installs it I have an msi k7t pro 2a m-b 1 ghz t-b cpu, 640mb pc 133sdram a msi geforce 2mx a sound blaster live, lucent win modem a nic card, 30gig ibm deskstar, ibm 40x cdrom a aopen 1232 burner and a floppy does that help?
At the end of the bios boot it displays the command line "ECD update success"

Its probably the winmodem...has it ever worked right?
I had an old PCtel...well actually it was a PrimePeripherals, but had the cheesy pctel winmodem chipset. The thing was a constant pain in Win98se, and I didn't even bother trying it in Win2k.
I spent 14 bucks on an Intel hardware modem, and I've seen the Creativelabs modemblasters for like $15 online. If you ahve the 15 to spend I'd just get one of these. Trust me, its a night and day difference.
My winmodem would never connect over 44k, but the $14 ham modem is 45.2 atleast, and I've gone past 46.6 which is the fastest I've ever gotten from any 56k modem in my house. And, it'll stay connected forever without disconnecting, and reliably download large files.
My guess is that the modem is malfunctioning or that win2k doesn't like it. Try to look for updated drivers, and thats about all you can do aside from trying another pci slot and changing the IRQ...
