Ok here is the deal, I'm debating on getting a sound card probably something in the $140 range. I am currently using Astro A40 Wireless setup on my motherboards on-board optical in. I know there's a million threads on this but can you please help me decide weather I will see a fair sized improvement?

Moved this one to the sound system section, general hardware is for stuff that doesn't fit anywhere else - and this is clearly a sound question.
I would try to answer, but audio is one of those things where its really hard to gauge what someone else considers noticeably better. There are audiophiles in here though that I'm sure can give you an opinion.
What are you looking for in your audio? Gaming with those headphones I imagine, or music also?

Well 95% of the time I am gaming, but occasionally I do watch some movies and listen to some music.
pretymuch anything is better than onboard you dont have to spend 100+$ for a good improvement, i am running an old sb audigy and its quality is tons better than the onboard on my p67-ud4 but if i were spending that much id go for a sound blaster xfi titanium my cousin has one and it makes me jelly :p only because its alot louder than mine, and my wife complains about my headphones in the living room lol

If gaming with headphones is your main usage then anything basic will do you nicely. Really the only reason to have anything higher would be for latency issues, such as when recording, mixing, or performing from the soundcard. I used to do some digital DJing off my desktop at home to practice before playing my vinyls. If not for that the latency issues would not have mattered at all, and I would have appreciated a cheaper card just as well.

Im going to go out on a limb and say maybe. If youre running them analog, the sound card will make a nice difference. You said youre using digital, so chances are you wont notice anything. When you run the digital out from your motherboard or a sound card, it just passes a digital stream to an external component to be decoded to analog.
