I have my i7-3770k multiplyer overclocked to 4.0MHz

in CPU-Z the core speed shows at:

1600 with a multiplyer of x16, bus speed at 100.

Windows 7 shows in my computer: intel i7 3.5MHz

My bios shows the cpu running at 4.0MHz.

I am confused can some one explain were im at???

Put a load on the CPU, it'll jump up to 4GHz (not MHz, 1GHz = 1000MHz :D). You're seeing EIST/C1E/Turbo in action, saving some energy while the CPU is idle.

Yeah, the CPU kinda under-clocks it's self to save power, when you don't need 4Ghz.

Also AFAIK "My computer" only shows the stock CPU speed, not any overclock...

if I remember right it shows the speed based on the stock multiplier so if you oc with bclk (or FSB, what ever AMD uses these days) it shows the oc, if you use the multiplier it doesn't.

^ Ah, now that you mention it, I guess my brothers athlon shows it, I guess I never paid to much attention.

mine shows my overclock..... seems like an easy thing to test and confirm first

Sorry, it's just that, mine has never shown it. (See attachment) and I've seen both CPU-Z and PC properties MANY times.
