Im stuck between these two different setups

1. will that xeon be ok in that board.. i checked the cpu support list and it doesnt mention anything about xeon but im thinking it will still be fine
2. will be ran on air first and eventually switched to water.. does anyone think it will be worth the extra 160.00 to go for the second setup ? or just a waste
3. any differences at all between the two cpu's other than the name ?? (are xeon multi's unlocked ?)
