So far this is what I have decided on:

Motherboard:
ABIT 875P Chipset Motherboard for Intel Socket 478 CPU, Model "IC7" -RETAIL

I just need some help deciding on what memory to get. I new to all this, and memory has me all confused :) I am looking at getting around 1gb of memory.

how much are you willing to spend and how much overclock are you aiming for?

i suggest at least pc3200 ram, kingston, buffalo tech, mushkin, and corsair are good brands, pc3200 is reasonably priced and you can always use different ratios when overclocking P4s without compromise to the cpu's performance unlike Athlons where running in sync yields the best performance

you can always shell out more money for pc4000 or better tho
 
I would like to keep it around $250 if i could. I would like to try oc'ing it, but since I have never done it before I might hold off for a while.
