I would consider investing in a 64 3000, but you look pretty good overall. The Via chipset for the A64 is better, but do as you will.

Here is a thread by the very knowledgable Hitechjb about A64 chipsets, CPUs and motherboards.

Change the 2800+ to a mobile, get an nForce3 250 board. I'd suggest the Gigabyte K8NS Pro for now. If you're absolutely on a budget, go for the Chaintech VNF250. Ditch the 5700Ultra and get a 9600XT. Much faster and a few bucks cheaper. I'd probably go with this memory as well. You're guaranteed up to 233MHz speeds, and Kingmax has been overclocking quite well lately.

so what is a good mobo for amd64 2800 that is around $100 and is ok at overclocking?
