About to purchase this, need suggestions

I'm about to get a new processor and mobo, with a $200 spending limit, give or take a few.

I'm pretty sure I am going to purchase this AMD Mobile XP 2600+

I'm not sure which mobo I should get. I've seen people suggest this DFI Ultra (http://www.newegg.com/app/ViewProductDesc.asp?description=13-136-137&depa=0), but a friend has suggested getting the ABIT NF7-S (http://www.newegg.com/app/ViewProductDesc.asp?description=13-127-166&depa=0). They're both pretty much the same price, and have similar specs, but I'm not all that savvy with this stuff. Could someone make a case for why one is better than the other?

I'm looking to overclock this to around 2.4ghz, so I'll probably need a better heatsink. If any of you have any recommendations I would appreciate it.

Ouch, $50 for that heatsink. Is that a must-have for OCing that cpu to 2.4ghz, or are there cheaper alternatives?
 
No you can get a slk900a but it's around 50 buck's also made by the same company and yes you need good cooling for overclocking. IMO the nf7-s and DFI infinity are neck and neck one is better clock per clock the other has a ability to get higher fsb.
