I am thinking of upgrading my existing system.

AMD Athlon XP 1600+ - 1.4GHz (remember the day that XP 1600+ is the hottest CPU for overclocking?)
Corsair 512MB DDR XMS2700
Epox 8K5A2+
ATI Radeon 9800 Pro

I want to get my CPU, motherboard, and RAM upgraded. Right now, I am thinking of getting Athlon 64 2800+, MSI K8T Neo-FSR (K8T800), and 2X 256MB (512MB) Kingston DDR400.

What is the difference between ADA2800AXBOX and ADA2800BOX for Athlon 64 2800+? Is it better to go with Socket 939 than Socket 754? I won't do serious overclock with the new system, and my bubget is around $300. I haven't follow the CPU and Mobo news lately. Please give me some suggestions!

939 is much better but is a little more expensive. Msi Neo 2 is the best atm IMO for 939. I've heard some good stuff about DFI's s754 for overclockin. You want to get a 250gb chipset if you want the firewall or gigabit lan (For s754)
 
s754 is becoming obsolete.
keep with the times as in the long run you wont regret.
go with socket 939 undoubtfully

Thats true, S754 will slowly become obsolete. Another perk of going S939, is being able to use the new dual-core chips that are coming out next year. All the reports point to them being S939. Just a little note I thought you mind like, knowing that S939 is going to be around for a decent amount of time, probably comparable to Socket A.

I wouldn't go for that motherboard or your memory choice. Then again, I don't think you'll find a truly worthwhile Athlon 64 setup for $300. Granted, a CPU and motherboard should be easy to find for that price, but decent memory is another story.
