Shuttle XPC with A64 Winchester

Does anyone have a Shuttle XPC socket 939?

I was thinking about getting one with a +3000 but I want to check here for your opinions first........ Most of the reviews I've read say the PSU is pretty good despite being only 240 watts.

I plan on running it with a 1gb PC3200, a 9800XT, one 160gb SATA drive, one optical drive, and a tv card. Do you think it will be stable? Will it handle a moderate OC?
