3200+vs 2.8@ 3.8ghz

A friend of mine working at a comp store just told me he could get me about 400$cnd for my mobo+cpu+ram+old 6200tc right now on the phone

i know the uper amd cpus are owning right now but im wondering if its really worth it as i have about no money to invest.

Id be stuck going with still 1 gig ram a low end mobo and a 3200+ :\
Any thoughts?

After you overclock them both they're almost the same powerwise.
