Ok, I just sold my old P4 2.4ghz box for $300 today so I have 300 bucks to spend on a mobo,proc,memory without it basically costing me anything. I would like to keep it right around $400ish

I am set on the E6300 Conroe, and 2GB of PC2 6400 memory, however I am unsure of what is the best mobo/memory to purchase right now.

I know others say that the P5B-Deluxe for the mobo is the way to go.... But I am just leary because on all websites it doesnt say it supports 1333mhz FSB or Quad Cores... So any information would be appreciated.

You links are about $525 in parts and I don't see how you're gonna do an Intel setup for $400 unless you drop to 1GB of RAM.
 
cheapest you can go bro is a 4300, biostar T965 and some value 2gb kingston or supertalent 667's

that will run you about $420 dont expect huge overclocks though.

if you wanna OC and go cheap then you need 6300 and some good ram so add about $80 to that $420 and thats not counting a cpu HS

I am looking to do stock HS/Fan at the moment due to funds. I dont want to OC my main box until I can afford to get the proper cooling accessories.
Solid choices, except for the board. Get a 965 based board.

I used a Biostar 965PT [105.00 @ newegg] for about two months before I got my P5B, and it is an excellent board if you don't need raid. The gigabyte and asus 965 boards are also good choices.
