Two motherboards: Which one?

I am picking up a new motherboard and have narrowed it down to the following two:

1.

Anyone have any feedback on either of these? They should suit my needs perfectly.

One thing I am curious about though is will my CPU cooler and VGA cooler "fit" properly with either of these motherboards?

CPU Cooler -- Thermalright SI-128, 120mm fan on top, air blows down
VGA Cooler -- Thermalright HR-03, 90mm fan on top, air blows down

Saw that the abit has some very nice cooling on the chipsets...wanted to make sure if I go that route, the cooler will fit in.

abit ip35-e is better then the msi. the msi has 3phase pwm for the cpu, abit has 4phase. its only costing you $4 more, i would take it. the IP35-E i havent seen much ocing on but the IP35 which is the same board as the E is ocing nicly. since both use the same bios as well i see no problem with reaching nice fsb speeds, esp for $119.
