advice for core2duo machine

hi
i'm putting together new machine but i have some questions

Intel Core 2 Duo E6400 2,13 GHz Socket 775 Inbox
Gigabyte Socket 775 GA-965G-S3
A-Data DDR2 PC-6400 800MHz 1GB (16C-64Mx8) x2
Asus GeForce 7600GT EN7600GT SILENT/2DHT/256M
WD Caviar WD3200KS 320GB 7200rpm 16MB SATA 3Gb/s
+ nexus breeze case with nexus350W psu (i already have this)

Now is this350W enough for the system?
(in the future i'm planning to buy better psu and better videocard but not yet)

and is this memory stick ok? and can it be OC?
