Hi guys.

I have a relatively old mobo MSI MS-5169 and an AMD K6-III 400MHz CPU.

I tried to overclock it to 450 (100*4.5) but when the comp finished counting memory it just halted.
When I tried to set it on 428 (95*4.5) it started but windows put up a "Windows protection error".
I need an advice, please.

Those CPUs were never really all that geart at overclocking anyways. My advice to you, is to either get a new setup (T Bird), or just to not really bother overclocking that chip. I say this because in proc speed (not FSB speed), you usually need about a 200-250MHz gain to notice a difference. And IMHO, I dount think you would reach that with the chip you have. So if you have the $$$, get a new setup, but if you dont have the $$$, just leave the chip as is.
