Does overclocking benefit a NIC/modem?

IMO, no. From what I understand... a 33MHz PCI bus can go ~100MB/sec and you are not going to get your modem or 10/100 to get that fast.
 
Connection speed is indeed the limiting factor- unless you can afford T1 or something you are just as well of with a 10mbps nic as 100. Only difference is how much faster the card is than what you can use.
 
Overclocking can actually hurt them. Actually to be more truthful, they can hurt overclocking. Modems and NIC are usually the first things to fail when you start pumping up the bus speeds.
