Memory or Cpu responsible for reboot?

I just bought at Zipp Zoom Fly an AI7 c2.4 mo and Kingston Hyperx KHX3500k2.
At bus 250 and FSB: Dram at at 5:4 and 2 7 3 3 timing even at DDRV at 3.0 it gives me sudden reboots and error in prime 95. Mem test shows error even before reboots or error in prime. If I run lower voltage I get nearly immediately errors. This also happens at lower bus speeds. I could not test all bus speeds but it looks like at default setting it is stable (216 1:1 2 7 3 3) it seems to be stable ( I have to test a little bit longer).
My question is, what is the connection here? Can unstable CPU cause error in mem test or is the memory faulty? I have to know because I probably can return it till tomorrow against a restocking fee and get the Kingston Hyperx KHX3200k2 (I think it is this the B-H5, it has the 2 6 2 2 timing at 200) for the same price or exchange it against another pair of 3500 if it is defect.

I need some help from people who have experience.
The problem with an overclocked cpu 2.4c at 250 fsb at even ratio 3:2 mem test will show error after 10 min with running prime 95 . Prime does not show errors.
At speed 216 1:1 at 2 7 3 3 (the rating of the memory) mem test does not show error within 2 hours.
Can an overclocked unstable cpu screw up the memory this way?
