New 3.4 Preshot won't boot

Hello potential viewers, on tap is an infuriating issue I've run into: I currnet ly have a 3.2 prescott s478 on my msi 6758 v1 mobo. It runs fine, but I just bought a 3.4 pres. After a clean install of the chip, my computer will not POST, just switches from analog to digital, looking for a signal. So, I put it in my friends abit IC7 and BAM, post! Popped my 3.2 back in and everything runs fine. (I also tried clearing my bios before installing the chip). My mobo manufacturer hasn't released a new bios since 2004, and I have the newest one. The only conclusion I've come to is compatibility. Could I try a slightly older bios?
Please, any suggestion offered will be much appreciated.
 
Update:

Calling tech support yielded almost nothing, as usual. Joe Technician said to try setting memory to DDR400 instead of auto(since I have ddr550 for overclocking). This actually made sense, so I put my 3.2 in, set that in bios, rebooted to bios, turned pc off, and installed the 3.4. Same result; no post. So I put the 3.2 back in.... also no post. Tried a spare 2.4, no post, swapped memory, same thing. Well, time for a new mobo.. But wait, the bolts for my HSF mount are on the circuit board w/o fiber washers. Unbolt, and yes, wires in pcb where bolt mount are exposed. Install washers, reboot with 3.2: POST. Great. Swap in new 3.4: no post. WTF!!!! Put 3.4 in friends PC, no problems. Mobo website and techie claim compatibility.

So, looks like a mobo RMA... but wait... technician guy said my mobo was made in June 2003, and not under any warranty anymore. Put the 3.2 back in, try to sell 3.4 to friend for close to what I bought it for: $130. EWiz.
