replacing Athlon "boxed hs/f"

I am currently running 1.2 GHZ Athlon tbird (266) on Iwill kk266-R mobo. I am using OEM heat sink/fan combo and have been having some problems with freezing, which may be related to high temps. Just wanted to know: If I take off the original hs/f, is there any chance I could damage processor, and could replacing that thermal pad between processor and fan cause any problems?
