Why are you paying for an AMD 1.2Ghz? Why not get a 800 or 1000 and overclock it. You won't get much past 1.2 Ghz with overclocking anyways....I would recommend the Asus A7V...good for overclocking. As for a heatsink, get an Alpha PEP66. They rule. Enjoy!

For the moment the VIA 133A chipsets are coming in. Saw some very positive reviews on the EPOX 8 KTA 3+ and Abit KT7A (RAID) mobo's. 133 mhz FSB and great chances to OC the FSB and Multiplier settings by means of the BIOS.
I have great results with the GlobalWin FOP 38 cooler......but it's loud! The FOP 32 seems to be quieter and should do a good job as well.

i agree id get a kt7 raid and why would you get a 1.2gig with some half decent cooling you could get a 1gig cause with the kt7 the soft menu rules......you can push the fsb up to 183 in 1mhz increments....final quote you rich bastard...who can afford a geforce 2 ultra....not me

I know you mentioned the Asus board but some peeps are touting the Abit KT7A board. Watch out if you are using a SBLive card. They appear to be causing some problems. You might research this if you haven't already bought the SB. Check out the TurtleBeach.
