Is there a way to turn off Modem dialing sound in windows XP

Go to your Start Menu, then Connect To, and right click on the ISP that you want to disable the modem speaker for. Go to Properties, and on the General tab click the configure button under your modem. There, you'll be able to uncheck "Enable modem speaker:"
 
In addition to nekura's suggestion, you can also right click "My Computer" | "Properties" | "Hardware" tab | "Device Manager" button | Expand "Modems" | Double click your modem (or right click and select "Properties") | "Modem" tab | "Speaker Volume", and adjust the slider to "Off". ;)
