Mobo advice for e8400

Im looking to get the e8400 and overclock it. I need suggestions on a motherboard that will overclock well and is good quality. I would like an ICH9R southbridge, so p35 or x38 would most likely be to choices.

Case - Antec p182
Video Card - EVGA 8800GT or 8800GTS g92
Ram - 8gb, either 4 now more later or 8 now.
CPU - Intel E8400
HD - 2 x Seagate Barracuda 7200.11 in RAID 0 or Matrix Raid 0/1 http://www.newegg.com/Product/Product.aspx?Item=N82E16822148288


So far ive been looking at these 3 boards, but want to see if there is anything else good or what opinions are on these 3. O yea and im using DDR2
ASUS P5E
ASUS P5K-E
ASUS MAXIMUS FORMULA

Also what would be good memory to get with this, im not sure if DDR2 800 or DDR2 1066 would be best.

I'm partial to the Maximus Formula...but before I purchased I was looking at these two Gigabyte boards
