i think for $10 more you can get a Scythe Ninja+. it would cool better, but much larger in size, something to consider.

Ultra 120 is better than that hsf. I'd get an infinity if you plan on going above 3.2ghz. It is $46 though. A tuniq tower is good as well. Even a scythe ninja will work well.
 
Then get a 6300 because a 6400 is pointless if that is your goal. It is very easy to get there with a 6300 unless you hit some sort of wall. The ultra 120 will suit your needs well. So will a ninja. Cheap and good cooling don't really go hand in hand.
